So, I upgraded. Or at least I tried.
I built package with xen-3.0.1 for Sarge. Everything was fine.
Just one point: I have hotplug and udev from Sarge installed, so I don't
know which one xend uses, but I had the same error that I had with the
tha packages. I just upgraded too udev from backports.org, and it was
fine.

Upgrading packages was not very difficult but I had to tweak a little
because the prerm script from Adam's xen packages with the xend stop is
not very fine (xend could not stop..). And of course our "xend start" in
postinst failed (since I was running a xen2 kernel), but I just had to
tweak /var/lib/dpkg/info/xen.postinst. I don't know if we can do better
on that point, but we already know that.

Otherwise, no problem.

However it is not working for me, it seems I have a kernel/hardware
problem with the kernel I compiled... :-/ I downgraded back
(successfully *g*) to Xen 2.0.6 for now... But this if off topic.
